Real estate contract validity question

lets say that a buying party makes a counter offer after prescribed due date on previous offer and signs their own counter after the prescribed date. The selling party also signs the contract after the date. The buying party deposits earnest money, but the selling party wants to release the contract because they view it as invalid because all parties signed after the deadline.

Is this a valid contract?
